Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between Horizon Care Systems ("Company", "we", "us", or "our") and the organization or individual ("Customer", "User", or "you") accessing or using the Horizon Care Opsplatform, web application, mobile application, APIs, and associated services (collectively, the "Services").
1. Acceptance & Eligibility
By registering for an account, accessing the web portal, installing the mobile application, or signing a Master Services Agreement (MSA), you represent and warrant that:
- You have the legal authority to bind your organization to these Terms.
- You will use the Services in full compliance with applicable state and federal healthcare laws, including HIPAA, HITECH, and Medicare billing regulations.
- All information provided during user onboarding and credentialing is accurate, complete, and current.
2. Account Security & Role-Based Access
Customer is responsible for maintaining the confidentiality of account login credentials and enforcing access controls across its staff:
- Credential Confidentiality: Users must not share passwords, magic-link login tokens, or Multi-Factor Authentication (MFA) codes with unauthorized individuals.
- Role-Based Permissions: Access rights (Executive, Director of Rehab, Staff Therapist, PRN) must be assigned according to the principle of least privilege.
- Immediate Notification: Customer must notify Horizon immediately at security@horizoncareops.com upon suspecting any unauthorized access, compromised credentials, or security incident.
3. HIPAA & Business Associate Agreement (BAA)
The management of Protected Health Information (PHI) within the Services is governed by HIPAA:
- BAA Requirement: Prior to transmitting or storing PHI, Customer and Horizon must execute a standard Business Associate Agreement (BAA).
- Covered Entity Responsibilities: Customer remains responsible for obtaining valid patient consents, maintaining accurate clinical treatment orders, and enforcing internal privacy policies.
- Business Associate Safeguards: Horizon agrees to implement technical, physical, and administrative safeguards (including AES-256-GCM encryption and single-tenant database isolation) to protect PHI.
4. Acceptable Use Policy & System Integrity
You agree not to engage in any prohibited activities that compromise the security or availability of the Services, including:
- Attempting to bypass single-tenant database boundaries, access another customer's isolated namespace, or perform unauthorized penetration testing.
- Reverse engineering, decompiling, or disassembling the web portal, offline mobile app, or backend Go microservices.
- Using automated bots, scrapers, or scripts to extract platform data outside of authorized REST APIs.
- Falsifying therapy session documentation, supervisory visit timestamps, or billing rate structures.
5. Proprietary Rights & Software Licensing
Horizon Care Systems retains all right, title, and interest in and to the Services, including source code, UI designs, algorithm implementations, database schemas, trademarks, and self-hosted AI note processing pipelines. Customer is granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform during the active subscription term.
6. SMS Text & Email Communications
By providing a mobile phone number and consenting to shift notifications, users agree to receive transactional SMS messages (PRN shift claims, schedule alerts, MFA verification tokens):
- Opt-Out Command: Users may opt out of SMS messages at any time by texting STOP.
- Message Rates & Frequency: Standard message and data rates may apply. Message frequency depends on shift availability and notification settings.
- Privacy Commitment: No mobile phone information will be shared with third parties or affiliates for marketing purposes. Review our Opt-Out Policy for complete details.
7. Disclaimers & Limitation of Liability
- Service Availability:While Horizon strives for 99.9% uptime and maintains redundant infrastructure, Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
- Clinical Judgment Disclaimer: Horizon Care Ops provides operational, scheduling, and documentation assistance software. The platform does not provide medical advice. Clinical therapy decisions remain the sole responsibility of licensed healthcare professionals.
- Limitation of Liability: To the maximum extent permitted by law, Horizon Care Systems shall not be liable for indirect, incidental, consequential, or punitive damages arising from platform usage. Our aggregate liability is limited to the total fees paid by Customer during the twelve (12) months preceding the claim.
8. Governing Law & Contact Details
These Terms shall be governed by and construed in accordance with federal law and applicable state regulations governing healthcare technology contracts.
